RIETER AND ACQUIRING BARMAG FROM OC OERLIKON

Oerlikon has signed a definitive agreement for the divesture of its Barmag textile machinery business for manmade fibers to Rieter for an upfront equity purchase price of CHF 713 million.
The transaction values Barmag at an enterprise value of CHF 850 million. This represents an attractive through-the-cycle (2016-2023) EV/EBITDA valuation of ~6.5x. Oerlikon intends to use the expected proceeds to repay the CHF 475 million term loan, general corporate purposes and potential distribution to shareholders. The closing of the transaction is subject to customary regulatory clearance and is expected in Q4 2025.
Michael Suess, Executive Chairman of Oerlikon, stated: "With the definitive agreement with Rieter, we have found a Swiss industrial solution that optimizes value for all stakeholders and marks an important milestone in executing our pure-play strategy. We are pleased that our manmade fibers business, Barmag, will be part of a proven global leader in textile technologies. Going forward, we are fully focused on unlocking the full value as a global pure-play leader for surface technologies and advanced materials."
This Swiss industrial solution aligns with Oerlikon"s aim to optimize value for all stakeholders. Both Rieter and Barmag have a long-standing track record of innovation leadership and expertise in plant engineering for the textile industry. The transaction is highly complementary for Rieter, adding strong exposure to manmade fibers to its existing natural fibers focus. It creates the basis for a compelling future for the combined business, allowing them to fully focus their strategy and capital allocation on their end market and geographies.

 

شرکت های اورلیکون (Oerlikon) و ریتر (Barmag) هر دو از جمله برندهای مشهور سوئیسی در عرصه تولید ماشین آلات نساجی هستند. پس از مذاکرات صورت گرفته طبق قرارداد رسمی امضا شده مورخ 6 می سال جاری (06/05/2025)، شرکت اورلیکون بخش ماشین‌آلات نساجی بارمگ (Barmag)  خود در حوزه الیاف مصنوعی را به شرکت ریتر واگذار نمود. پیش پرداخت این معامله در ازای خرید سهام بارمگ به مبلغ 713میلیون فرانک سوئیس تعیین شد.

در این معامله، ارزش بارمگ به عنوان یک بنگاه اقتصادی معادل 850 میلیون فرانک سوئیس برآورد شده است. این ارزیابی رشد حدود 6.5 برابری نسبت ارزش بنگاه به سود قبل از بهره، مالیات و استهلاک (EV/EBITDA)  در دوره زمانی 2016 تا 2023را نشان می دهد. اورلیکون قصد دارد عواید حاصل از این معامله را صرف بازپرداخت وام مدت‌دار 475 میلیون فرانکی، محقق ساختن اهداف عمومی شرکت و توزیع سود میان سهام‌داران نماید. انتظار می رود مراحل قانونی این واگذاری در سه‌ماهه چهارم سال 2025 به سرانجام برسد.

مایکل سئوس (Michael Suess)، رئیس هیئت‌مدیره شرکت اورلیکون، اعلام کرد: با انعقاد این توافق‌نامه با شرکت ریتر، موفق شدیم به یک راهکار صنعتی مبتنی بر ظرفیت‌های داخلی کشورمان دست یابیم که به نفع کلیه ذی‌نفعان خواهد بود و در عین حال، گامی راهبردی در مسیر تحقق استراتژی تمرکز تخصصی شرکت بر یک محصول محسوب می‌شود. از این لحاظ خوشحالیم که واحد الیاف مصنوعی مان، یعنی شرکت بارمگ، به مجموعه‌ای می‌پیوندد که جایگاه خود را به‌عنوان یکی از رهبران جهانی در عرصه فناوری‌های نساجی تثبیت کرده است. از این پس، به‌طور کامل بر شکوفاسازی نقش رهبری جهانی خود در حوزه فناوری‌های سطحی (surface technologies) و مواد و متریال پیشرفته  تمرکز خواهیم کرد.

این راهکار صنعتی سوئیسی با هدف اورلیکون درخصوص بهینه‌سازی ارزش برای تمامی ذی‌نفعان هم راستا است. هر دو شرکت ریتر و بارمگ سابقه‌ای طولانی در زمینه رهبری نوآوری و تخصص در مهندسی کارخانه‌های مرتبط با صنعت نساجی دارند. این معامله از جنبه راهبردی کاملاً مکمل فعالیت‌های شرکت ریتر محسوب می شود؛ با توجه به آنکه تمرکز اصلی فعالیت شرکت ریتر بر روی الیاف طبیعی بوده است، لذا اضافه شدن حوزه الیاف مصنوعی دامنه فعالیت آن را گسترش خواهد داد. این اقدام، زیربنای محکمی را برای آینده‌ جذاب این  کسب‌وکار مشترک فراهم نموده و به ایشان این امکان را می‌دهد که استراتژی و تخصیص سرمایه خود را به‌طور کامل بر بازار هدف نهایی و مناطق جغرافیایی هدف متمرکز کنند.

As large sheets of strong, flexible, water-resistant material used for protection from extreme conditions, tarpaulins are commonly made from PVC-coated polyester, which is characterised by its low price and good resistance, but is more difficult to recycle than other plastics.

 

از جمله ویژگی های شاخص پارچه های برزنتی (tarpaulins) می توان به ابعاد بزرگ، استحکام، انعطاف‌پذیری و عدم تراوش آب و مایعات (impermeability) اشاره نمود که آنها را به گزینه مناسبی برای محافظت از محموله ها در برابر شرایط محیطی با جو ناپایدار بدل نموده است. این نوع پارچه معمولاً از پلی‌استر کوتینگ شده با پلی وینیل کلراید (PVC) تولید می‌شود. از جمله مزایای این ماده می توان قیمت پایین و مقاومت مناسب آن را نام برد ولیکن از معایبش این است که، نسبت به سایر پلاستیک‌ها قابلیت بازیافت‌پذیری کمتری دارد.

 

The main result of the project will be a three-metre-wide polyolefin-coated fabric production facility which will be located at the Ziplast facility in Milan, Italy, with an annual capacity of 250,000 square metres once completed.

نتیجه اصلی پروژه، راه‌اندازی کارخانه کوتینگ پارچه تا عرض 3 متر با پلی‌الفین با ظرفیت تولید سالانه 250000مترمربع در کارخانه زیپلاست واقع در شهر میلان  خواهد بود

It is anticipated that more than 100 water bags will be produced three years after the project ends and more than two million cubic metres of water will be stored at three fresh water storage sites. The proposed solution will help avoid incineration of more than 2,000 tons of PVC and prevent more than 13 tons of CO2 from being released into the environment.

پیش‌بینی می‌شود که تا سه سال پس از پایان پروژه بیش از 100 کیسه آب تولید شده و بیش از دو میلیون متر مکعب آب در سه سایت نگهداری آب شیرین ذخیره گردد. این راهکار پیشنهادی به پیشگیری از سوزاندن بیش از 2000 تُن PVC و  انتشار بیش از 13 تُن دی‌اکسید کربن    (CO2)  در محیط زیست کمک خواهد کرد. نتایج این پروژه به سایر حوزه‌ها از جمله چادر کامیون (truck tarps) و برزنت یخچال های طبیعی (glacier tarpaulins) نیز قابل تعمیم خواهد بود.

شرکت‌ها پس از انجام آزمایش‌های متعدد، موفق به تولید فیلامنت پیوسته از رزین پلی پروپیلن بازیافتی شده‌اند. هدف از این کاربسط دادن کاربردهای نهایی این ماده می باشد.

Orlando, Florida-headquartered PureCycle Technologies has announced the initial sale of nearly 500,000 pounds of its PureFive recycled polypropylene (PP) resin to Drake Extrusion, for the production of continuous filament yarns which could be used to make items such as rugs, upholstery, and apparel.

 

دفتر مرکزی شرکت پورسیکل تکنولوژی (PureCycle Technologies)  مستقر در شهر اورلاندو ایالت فلوریدا، فروش نزدیک به 500000 پوند رزین پلی‌پروپیلن بازیافتی (recycled polypropylene (PP) resin) با نام تجاری پورفایو (PureFive) به شرکت دریک اکستروژن (Drake Extrusion) را اعلام کرد. این رزین‌ در تولید نخ‌ فیلامنت پیوسته مصرف خواهد شد و نخ حاصل در تولید محصولاتی مانند فرش، پارچه و پوشاک کاربرد خواهد داشت.

Drake, based in Ridgeway, Virginia, is North America’s leading manufacturer of coloured filament yarns and staple fibre.

The agreement comes after Drake’s successful production of continuous fibres using a compound including PureFive. The resin was produced at PureCycle’s plant in Ironton, Ohio, from 100% post-consumer recycled (PCR) feedstock and then developed into a compound by its research and development team in Durham, North Carolina.

 

شرکت دریک، مستقر در منطقه ریجوی ایالت ویرجینیا، به‌عنوان بزرگ‌ترین تولیدکننده نخ‌های فیلامنت رنگی و الیاف استیپل در آمریکای شمالی مشهور است. این شرکت در وهله نخست پذیرفت که با استفاده از نمونه کامپاند رزین پروپیلن بازیافتی پورفایو اقدام به تولید فیلامنت نماید. محصول بدست آمده دارای ویژگی های مورد نظر بود. درنتیجه قرارداد فروش بین دو شرکت منعقد گردید. این رزین در کارخانه پورسیکل واقع در آیرون تون ایالت اوهایو از بازیافت مواد 100% ضایعاتی (post-consumer recycled (PCR)) تولید می شود و سپس توسط تیم تحقیق و توسعه این شرکت واقع در شهر دورهام ایالت کارولینای شمالی به صورت کامپاند (compound) در می آید.

The Polypropylene yarn process in Camira Fabrics
Polypropylene is a thermoplastic polymer. It is melted, then extruded to form fibers.
Polypropylene yarn cannot easily be dyed once it is formed. Instead, the finished color is determined by a blend of ingredients. Highly concentrated pigments are measured, heated and blended to create a color sample for testing. From this a recipe is formulated and master batch pellets are created to provide color during the extrusion process.

 

پلی پروپیلن نوعی از پلیمر ترموپلاستیک است. گرانول های آن ذوب و سپس اکسترود شده و به الیاف تبدیل می شوند. نخ پلی پروپیلن را به محض تولید نمی توان رنگ کرد. در واقع رنگ نهایی از طریق ترکیبی از اجزا تعیین می شود. پیگمنت های بسیار غلیظ اندازه گیری می شوند. سپس حرارت داده شده و ترکیب می شوند تا نمونه رنگ برای تست کردن به دست آید.  با توجه به نتیجه تست، دستورالعمل تهیه رنگ فرمول بندی می شود.به منظور فراهم سازی رنگ در طی فرایند اکستروژن، گرانول های مستر بچ (master batch pellets)  تولید می شوند.

 

 

Extrusion Machine
Polypropylene is suction fed to hoppers at the top of the machine. The solid pellets are mixed and sent to the melting tank. It is heated to 220 degrees Celsius. Molten Polypropylene is pumped through a series of holes in the extrusion head. 72 individual strands produce a single filament. They pass through a cooling zone before being gathered and oiled. The filaments are wound through a series of cylinders. To create 300 denier spun yarn, an Air jet machine binds the fibers. The spun yarn is wound on to bobbins at 2500 RPM. The initial yarn making process is now complete.

دستگاه اکستروژن
گرانول های پلی پروپیلن از طریق فرایند مکش به قیف تعبیه شده بالای دستگاه اکستروژن تغذیه می شوند. گرانول های جامد ترکیب شده و به مخزن ذوب (melting tank) ارسال می شوند.  در این مخزن تا دمای 220 درجه سانتیگراد حرارت می بینند. پلی پروپیلن ذوب شده به سری دوش مانند اکستروژن (extrusion head) پمپ شده و از طریق روزنه های آن  خارج می شود. 72 رشته مجزا یک فیلامنت را تشکیل می دهند. قبل از آنکه این رشته ها به تک رشته فیلامنت تبدیل شده و روغن زنی شوند از منطقه خنک کن (cooling zone) عبور می کنند. فیلامنت های حاصل از طریق مجموعه ای از سیلندرها پیچیده می شوند.
به منظور تولید نخ اسپان 300 دنیر، دستگاه ایرجت الیاف را به هم متصل می نماید. نخ اسپان حاصل  با سرعت RPM 2500 به دور بوبین ها پیچیده می شود. با تکمیل بوبین ها، فرایند تولید نخ به اتمام می رسد.

 

 

texturizing
We texturize some of our yarn to give it a more natural feel. Core and effects fibers are combined. Water splits filaments. Air jet twist and interlock the fibers to create texture. Texturizing gives an appearance and texture resembling natural spun yarn. The polypropylene yarn can now be used to create a variety of fabrics.  

 

تکسچرایزینگ
بر روی برخی از نخ ها فرایند تکسچرایزینگ انجام می دهیم تا مشخصاتشان به نخ های طبیعی نزدیک شود. در حین فرایند تکسچرایزینگ، الیاف مغزی و الیاف فانتزی (effects fibres) با هم ترکیب می شوند. فیلامنت ها آب کافت می شوند (فیلامنت ها به وسیله آب از هم جدا می شوند (دوقسمت می شوند) . (water splits pilaments). ایرجت ها الیاف را تابانده و به هم متصل می کنند و در نهایت نخ تکسچره به دست می آید. در واقع فرایند تکسچرایزینگ به نخ ظاهر و بافتی شبیه نخ اسپان طبیعی می دهد. نخ پلی پروپیلن حاصل  را می توان برای تولید انوع مختلف پارچه بکار برد.

CEMATEX is the owner of the ITMA exhibition that recognized as the world's largest showcase for textile and garment technology. CEMATEX launched ITMA ASIA in 2001. The second edition was held in 2005, supported by the Japan Textile Machinery Association. Both showcases taking place in Singapore.

The CITME exhibition was established in 1988 by the China Textile Machinery Association and is regarded as the most significant textile machinery event in China. Until 2006, it was held biennially in Beijing.

انجمن ماشین‌آلات نساجی ژاپن، دومین دوره آن را برگزار نمود. هر دو دوره در سنگاپور برگزار شدند.
نمایشگاه CITME در سال ۱۹۸۸ توسط انجمن ماشین‌آلات نساجی چین راه‌اندازی شد و به‌عنوان مهم‌ترین رویداد نساجی چین شناخته می‌شود. این نمایشگاه تا سال ۲۰۰۶ هر دو سال یک‌بار در پکن برگزار می‌شد.
